Identity Verification Deadlines for Company Directors and Business Owners – What You Need to Know

From November 2025, Companies House will begin rolling out mandatory identity verification for all company directors and persons with significant control (PSCs). This new requirement forms part of the government’s ongoing reforms to improve transparency and strengthen the UK’s corporate register.

If you are a company director, shareholder with significant control, or planning to set up a new company, it is essential to understand when and how this change will affect you.

When the new rules come into effect

The identity verification process is due to start on 18 November 2025. From that date:

  • All new company directors and PSCs must verify their identity before they can be appointed or before a company can be incorporated.
  • Existing directors will need to verify their identity and provide their Companies House personal code as part of their next confirmation statement filed after 18 November 2025.
  • Existing PSCs who are not directors must complete their verification within 14 days from the first day of their birth month in the year following the start date.
  • Anyone becoming a PSC after the new rules come into effect must verify within 14 days of their appointment being recorded.

What business owners need to do

The process is straightforward, but it will take some preparation. Directors and PSCs can verify their identity using the new GOV.UK One Login service, or through an Authorised Corporate Service Provider (ACSP), such as a solicitor or accountant.

We recommend that company officers and business owners start gathering the required information now, such as valid photo identification and proof of address, to avoid delays when the new system launches.

Why this matters

These reforms are designed to make company ownership more transparent and to protect businesses and the public from fraud and misuse of the register. Failure to verify identity could result in delays to company filings or, in some cases, being prohibited from acting as a director.

At Marlborough Law Ltd, we can assist company directors and business owners in understanding their responsibilities under these new requirements. Our team can guide you through the verification process or act as your Authorised Corporate Service Provider if you prefer a professional to manage it for you.
