During the heady days of starting a business, many partners and shareholders do not consider how to protect their business from future disputes.
Relationships do breakdown, or circumstances intervene that, if not handled properly, can destroy a business. Breaking the deadlock that businesses often find themselves in has to be handled carefully and quickly to keep the business from failing and manage the personalities involved.
Equally, businesses will, unfortunately, at some point likely have a commercial contract dispute. While many of these can be resolved quickly, some prove more troublesome and require expert advise.
This depends on the business structure, for example partnership or limited liability company and its constitution (the legal documents on the governance of the business).
The key mechanisms that decide of or how disputes can be resolved will be contained in those documents as well as the legislation, and in particular the Companies Act 2006.
